SYC Australia – General Terms and Conditions
1: Contract
1.1 A binding contract (“Contract”) between you and SYC AUSTRALIA PTY LTD is formed upon your acceptance of the Quote. Acceptance may occur verbally, in writing, or electronically, provided it occurs before the expiry date specified in the Quote.
1.2 The Contract comprises:
a) The Quote;
b) The Service-Specific Terms; and
c) These General Terms and Conditions.
1.3 The terms outlined in Clause 1.2 constitute the entire agreement between the parties concerning the subject matter of the Contract, superseding all prior agreements, understandings, negotiations, and discussions.
2: Services
SYC AUSTRALIA PTY LTD will deliver the services described in the Quote (“Services”), governed by these General Terms and Conditions.
3: Term
The Contract commences upon your acceptance of the Quote and concludes upon the completion of the Services, unless terminated earlier.
4: SYC Australia’s Obligations
SYC AUSTRALIA PTY LTD will perform the Services with reasonable care, skill, and diligence.
5: Your Obligations
5.1 You acknowledge that SYC AUSTRALIA PTY LTD relies on your cooperation, including granting access to premises and providing necessary information to deliver the Services. You agree to take all reasonable actions requested by SYC AUSTRALIA PTY LTD to facilitate this process.
5.2 The information and reports provided by SYC AUSTRALIA PTY LTD must only be used for their stated purposes.
6: Fees and Expenses
SYC AUSTRALIA PTY LTD will issue invoices for the Services and any associated expenses. All invoices must be paid in full by the due date specified.
7: GST
If applicable, Goods and Services Tax (GST) will be charged on SYC AUSTRALIA PTY LTD’s fees and expenses and will be itemized on tax invoices.
8: Data Protection and Privacy
8.1 You consent to SYC AUSTRALIA PTY LTD collecting, storing, and processing your data for legal, administrative, personnel, and management purposes, including processing any “sensitive information” as defined under the Privacy Act 1988 (Cth) to the extent permitted by law.
8.2 You consent to SYC AUSTRALIA PTY LTD sharing your data with service providers, advisors, regulatory bodies, governmental entities, or potential business purchasers, as required or appropriate.
9: Intellectual Property
All intellectual property rights, including but not limited to patents, copyrights, and related rights arising from the Services, will vest solely in SYC AUSTRALIA PTY LTD upon their creation.
10: Termination
10.1 You may terminate the Contract at any time before the commencement of the Services without incurring any payment obligation.
10.2 If you terminate the Contract after Services have commenced, SYC AUSTRALIA PTY LTD is entitled to invoice you for fees and expenses incurred up to the date of termination.
11: Liability
11.1 To the maximum extent permitted by law, SYC AUSTRALIA PTY LTD excludes all warranties, representations, and other terms not expressly stated in the Contract.
11.2 SYC AUSTRALIA PTY LTD’s aggregate liability for claims arising from or in connection with the Contract is limited to the greater of the actual fees paid under the Contract during the 12 months preceding the claim.
11.3 Nothing in the Contract excludes or restricts SYC AUSTRALIA PTY LTD’s liability for breaches of guarantees under Part 5-4 of the Australian Consumer Law (ACL) in the Competition and Consumer Act 2010 (Cth) or other statutory obligations.
12: Variation
Any variation to the Contract must be agreed upon in writing and signed by both parties.
13: Third-Party Rights
No third party has any rights under the Contract unless expressly stated.
14: Governing Law
The Contract shall be governed by and construed in accordance with the laws of Australia.
Chapter 15: Jurisdiction
The courts of Australia shall have exclusive jurisdiction to resolve any disputes arising from or related to the Contract.

General Terms and Conditions: These terms and conditions.
Quote: The written quote provided by SYC AUSTRALIA PTY LTD.
Services: Defined in Clause 2.
Service-Specific Terms: Additional terms outlined in or accompanying the Quote.
SYC Australia – Affiliate Program Terms and Conditions
17: Limited Acceptance of Affiliate
17.1 Participation in the affiliate and referral program is subject to a first-come, first-served policy.
17.2 SYC AUSTRALIA PTY LTD reserves the right to decline referrals when capacity is reached or for other operational reasons.
18: Program Duration
18.1 The affiliate program is scheduled to run until April 2025, but SYC AUSTRALIA PTY LTD reserves the right to modify or terminate the program at any time without prior notice.
18.2 Modifications or early termination of the program will not affect referrals that have already been accepted and processed.
19: Commission Eligibility
19.1 Affiliate commissions will be awarded only for transactions completed through the unique affiliate referral link and promotion code provided.
19.2 The Affiliated customer must complete payment via the referral link or promotion code to qualify for the commission.
19.3 Commission amounts are fixed, final, and non-negotiable.
20: General Conditions
20.1 By participating in the affiliate program, you agree to these terms and conditions.
20.2 SYC AUSTRALIA PTY LTD reserves the right to disqualify participants engaging in fraudulent activity, misuse, or violations of these terms.
